1. Introduction

"Company", "we", "us", or "our" refers to AppCoder Software Ltd.
"Customer", "you", or "your" refers to the individual or entity that has agreed to use our services.
"Services" refers to the software development, online marketing, business automation, AI integration, and other related services provided by the Company.
3. Services
The Company provides various digital services including but not limited to custom software development, online marketing, business automation, and AI integration. The specific details of the services to be provided will be outlined in a separate agreement between the Company and the Customer.
4. Fees and Payment
Fees for our services will be specified in the separate agreement between the Company and the Customer. Unless otherwise stated, all fees are quoted in British Pounds (GBP) and are exclusive of VAT.
Payment terms will be specified in the separate agreement. Late payments may incur interest charges.
5. Intellectual Property Rights
Unless otherwise agreed in writing, the Company retains all intellectual property rights associated with the services provided. This includes, but is not limited to, source code, designs, methods, processes, and documentation.
Upon full payment, the Customer will receive a license to use the deliverables for their intended purpose as specified in the separate agreement.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of providing the services. This obligation continues beyond the termination of the services.
7. Limitation of Liability
The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein.
8. Termination
Either party may terminate the services as specified in the separate agreement. Upon termination, the Customer shall pay for all services provided up to the date of termination.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to Terms and Conditions
The Company reserves the right to modify these Terms and Conditions at any time. We will provide notice of significant changes by posting the updated Terms and Conditions on our website.
